Jio Platforms IPO: Grey Market Heats Up Ahead of Opening, Premium Jumps 84% to ₹230

Jio Platforms IPO: Bidding opens October 21, but price band still awaited; what the RHP discloses

Jio Platforms Limited, the digital and telecom arm of Reliance Industries, is now at the market's doorstep with its IPO. The company issued its Red Herring Prospectus (RHP) on October 14, 2026. According to it, anchor investors will bid on Monday, October 19. The issue opens for the general public on Wednesday, October 21 and closes on Friday, October 23. The UPI mandate deadline is 7 PM on the closing day. The most important detail, the price band, is still blank in the RHP. (Source: Jio Platforms RHP)

Issue structure: entirely a fresh issue

This is a pure fresh issue. No existing shareholder is selling their stake, and all the money will go to the company. According to the RHP, up to 27 crore equity shares with a face value of ₹10 each will be issued. The issue is being managed by 19 book running lead managers, including Kotak Mahindra Capital, Morgan Stanley, BofA Securities, Goldman Sachs, J.P. Morgan and SBI Capital Markets.

On reservations, up to ₹500 crore is set aside for employees and up to ₹2,500 crore for eligible RIL shareholders. A single RIL shareholder can bid up to ₹2 lakh in this quota. Of the remaining net issue, up to 50% is for QIBs, at least 15% for non-institutional investors and at least 35% for retail investors. (Source: Jio Platforms RHP, issue structure)

Use of funds: focus on reducing debt

The RHP clearly states the objectives of the issue. Out of the net proceeds, up to ₹27,500 crore will be used to repay certain outstanding borrowings of the subsidiary Reliance Jio Infocomm (RJIL), including term loans taken as ECBs. The remainder will go towards general corporate purposes, which cannot exceed 25% of the gross proceeds.

The company says this will reduce net debt and the interest burden. RJIL's total debt was ₹58,375 crore on June 30, 2026, compared to ₹70,245 crore a year earlier. (Source: Jio Platforms RHP, "Objects of the Issue")

The earnings picture

According to the RHP, consolidated revenue in FY2026 was ₹1,46,885 crore, about 14.6% higher than ₹1,28,218 crore in FY2025. In the same period, profit (PAT) was roughly ₹30,053 crore, compared with ₹26,120 crore the previous year. In the June 2026 quarter, revenue was ₹39,173 crore and PAT was ₹7,764 crore. As of June 30, 2026, the company had 28.49 crore 5G subscribers and 1.4 crore JioAirFiber subscribers. In FY2026, its network carried about 60% of the country's wireless data traffic. Strengths

First, technology. According to the RHP, the company's cloud-native RAN, 5G core and OSS/BSS platforms are an in-house developed stack, which it plans to sell to select overseas markets through partners. Second, the AI platform JioBrain, which is used in network operations. Third, preparation for satellite-based services with Jio Space Technology. Note that Jio Space Technology is not a subsidiary but a joint venture of the company.

Shareholders include Jaadhu Holdings (a Meta-linked entity), Google International, Silver Lake entities and Saudi Arabia's Public Investment Fund. The company is led by Managing Director Akash Mukesh Ambani. (Source: Jio Platforms RHP)

Risks listed in the RHP itself

One, heavy dependence on RJIL. In FY2026, RJIL alone contributed 87.74% of consolidated revenue, 94.88% of EBITDA and 93.76% of PAT. So despite the "technology platform" identity, telecom remains the center of earnings.

Two, distribution. Reliance Retail Limited (RRL) is the sole distributor of prepaid connectivity services. Revenue from prepaid services was 76.37% of consolidated revenue in the June 2026 quarter and 77.08% in FY2026. The RHP acknowledges that any disruption to this arrangement would affect the business, and that building alternatives would take time and investment.

Three, related-party transactions with the promoter group, which the RHP lists as a risk of potential conflicts of interest. Regulatory changes and competition are also named as risks. (Source: Jio Platforms RHP, risk factors)

What should investors watch next?

First, the price band and lot size, which will be announced before the issue opens. After that, the anchor book and the pace of subscription across the three days. Valuation will only become clear once the band is out, so it is better to read the RHP's risk section yourself before applying. Also keep in mind that the RHP itself says the price band is not an indication of the post-listing price.
