What the Company Does
Originally called Edelweiss Alternative Asset Advisors, the company was incorporated in 2008 and adopted its current name in August 2024. It operates two major verticals: Real Assets (infrastructure and commercial real estate) and Private Credit (flexible financing). As of June 30, 2026, total AUM stood at ₹95,345 crore, of which fee-earning AUM (FPAUM) is ₹48,623 crore. Real Assets accounts for 57.67% of FPAUM, Private Credit for 39.64%, and the rest comes from businesses such as PMS. The company manages 10 active Real Assets funds and 16 Private Credit funds.
FPAUM grew from ₹30,398 crore in March 2024 to ₹44,710 crore in March 2026, a three-year CAGR of about 23.43%. Total income rose from ₹584 crore in FY24 to ₹964 crore in FY26, and net profit grew from ₹175 crore to ₹265 crore. Basic EPS for FY26 was ₹41.26.
In the June 2026 quarter, income was ₹336 crore (₹212 crore a year earlier) and profit was ₹80.7 crore (₹55.7 crore a year earlier). Net worth is ₹1,160 crore and the debt-to-equity ratio is 0.34. RoE was 27.30% in FY24, 27.10% in FY25, 25.97% in FY26 and 28.96% (annualised) for the June 2026 quarter.
Understanding the Revenue Mix
In FY26, management and advisory fees made up 60.08% of income, a relatively stable stream. Variable Additional Return (VAR), the extra income earned once a fund crosses its hurdle rate, contributed 30.14%, up from just 16.19% in FY24. Because VAR depends on fund performance, it can fluctuate. PAT margin also slipped from 29.98% in FY24 to 27.52% in FY26, and the cost-to-income ratio rose to 68.52% in the June quarter from 63.84% in FY26.
Shareholding and Valuation
The company currently has 64,655,246 shares outstanding. Promoter ESIPL holds 89.58%, and two promoter group entities, Edelweiss Rural & Corporate Services (4.97%) and Edelweiss Investment Adviser (0.48%), take total promoter and promoter group holding to 95.03%. The remaining 4.97% is held by public shareholders. Management holds a negligible stake.
At the upper band, the market capitalisation works out to roughly ₹10,765 crore, and the P/E on FY26 EPS is about 40–41x. About 72.07 lakh shares will be sold at the upper band, roughly 11% of post-issue capital, which would leave ESIPL with about 78% (our calculation). The RHP lists listed-peer P/E ratios ranging from 20.24x to 90.69x, with an average of 39.89x.
The RHP's risk section flags uncertainty in raising new funds and in exits, the impact of weak fund performance on VAR and fees, and regulatory risks tied to foreign investors, who account for 33.80% of AUM. The company is also named in an FIR registered after a complaint by Ecstasy Realty with the Mumbai Police EOW; a petition to quash it is pending in the Bombay High Court.
