Swan Corp Shares Pledged: 6.86% Stake Secures ₹1,150 Cr NaBFID Loan

Shares worth ₹602.75 crore held by IDBI Trusteeship. Investors will keep an eye on the high promoter pledge.

A promoter group company of Swan Corp Limited has pledged 6.86% of Swan Corp's shares against a ₹1,150 crore loan availed by a group entity. The lender is the National Bank for Financing Infrastructure and Development (NaBFID). Following this news, investors will be watching the company's stock and promoter pledge levels closely.

What the Exchange Filing Says

Swan Engitech Works Private Limited informed BSE and NSE that it has pledged 2,15,00,000 shares of Swan Corp Limited. These shares represent 6.86% of the company's total share capital. The value of the pledged shares has been stated at ₹602.75 crore.

According to the filing, the pledge has been created as security for a financial facility obtained by a group entity. The borrowing amounts to ₹1,150 crore. The shares are held by IDBI Trusteeship Services Limited in favour of the lender, NaBFID.

In other words, the shares belong to Swan Corp, but the loan has been taken by a group entity. The filing does not mention any direct borrowing in the company's own name.

What Does Pledging Shares Mean?

When promoters take a loan, they often keep some shares as security to give the lender comfort. If the loan is repaid on time, the shares remain with the promoter. But if the share price falls sharply and the promoters cannot provide additional security, the lender has the right to sell the pledged shares. This is why the market views promoter pledging as a sign of risk.

Use of the Loan and the Company's Position

According to the analysis note, the funds are mainly meant for Swan Defence and Heavy Industries. The note puts the company's order book at over ₹6,500 crore, including orders for naval vessels and commercial ships from the Government of Oman.

The note also states that:

  • Under the Central Government's interest subvention scheme, the loan gets a 3% rebate, bringing the effective interest rate down to around 5.85%.
  • The company, formerly known as Reliance Naval, was earlier in heavy losses but has recently reported a net profit of ₹566 crore.

These points are not part of the exchange disclosure.

Areas of Concern

Cover gap: The loan is ₹1,150 crore, while the pledged shares are valued at ₹602.75 crore. This means the value of the security is lower than the loan amount. If the share price falls sharply, the lender may ask for additional security. If the promoters cannot provide it, the pledged shares could be sold in the market, which could put sharp pressure on the stock price.

Overall pledge level: According to the analysis note, after this transaction the total pledged shares of the promoter group have risen to around 39.5%. In the market, a pledge above 25% is generally seen as a signal to be cautious. This figure should be confirmed against the latest shareholding pattern.

Possible Impact on the Stock

In the short term: The news has two sides. On one hand, there is the backing of a major institution like NaBFID. On the other, there is concern over the rising promoter pledge. As a result, the stock could see volatility.

In the long term: The impact will depend on how the funding is used to execute the order book on time. Good execution could support revenue and profit, but this remains only a possibility.

What to Watch Next
